Terms of Service

1. Introduction & Acceptance of Terms

Welcome to UNKNWN Agency LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website located at your domain (the “Site”), along with any mobile applications, software products, digital tools, dashboards, subscription services, provider portals, or related services developed, published, licensed, or distributed by us through the Apple App Store, Google Play Store, or other authorized distribution channels (collectively, the “Applications” and together with the Site, the “Services”).

By accessing, browsing, downloading, installing, registering for, or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue use of the Services and uninstall any Applications from your devices.

If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

  • You must be at least thirteen (13) years old to use the Services.
  • If you are under the age of eighteen (18), you represent that you are using the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
  • By using the Services, you represent and warrant that you satisfy all eligibility requirements under applicable law.

3. Scope of Services & External Payments

UNKNWN Agency LLC provides consulting services, operational support, workflow architecture, marketing support, analytics guidance, software development, digital strategy, subscription-based software tools, dashboards, provider portals, and related business services.

The Services may include:

  • informational resources,
  • downloadable content,
  • digital applications,
  • prototype software,
  • account-based services,
  • subscription functionality, or
  • cloud-connected tools.

No On-Platform Transactions

The Site and Applications do not currently process native financial transactions, point-of-sale commerce, or direct payment processing unless expressly stated.

Professional engagements, consulting retainers, licensing arrangements, subscriptions, invoices, or related payments may be administered through separate written agreements and/or authorized third-party invoicing and payment systems.

We reserve the right to introduce subscription billing, paid features, commerce functionality, or cloud-based account systems in the future.

4. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, store, disclose, and protect information.

The Site may utilize analytics technologies, including Google Analytics, to improve website functionality, understand usage patterns, and support operational decision-making.

The Applications currently do not utilize third-party analytics, advertising trackers, behavioral advertising systems, or email marketing technologies unless otherwise disclosed.

By using the Services, you consent to the data practices described in the Privacy Policy.

5. Accounts, Portals & Subscription Access

Certain Services may require account registration, subscription enrollment, provider portal access, or credential-based authentication.

You agree to:

  • provide accurate registration information;
  • maintain the confidentiality of login credentials;
  • promptly notify us of unauthorized access; and
  • accept responsibility for activities occurring under your account.

We reserve the right to suspend, restrict, or terminate accounts that:

  • violate these Terms;
  • create operational or legal risk; or
  • compromise platform security or integrity.

Subscription services, provider dashboards, or cloud-based features may be subject to additional agreements, pricing terms, or usage policies.

6. App Store & Distribution Platforms

You acknowledge that these Terms are concluded solely between you and UNKNWN Agency LLC, and not with Apple Inc., Google LLC, or any other distribution platform provider.

Your use of the Applications must comply with all applicable third-party platform terms, including:

  • the Apple Media Services Terms and Conditions,
  • Apple App Store usage rules, and
  • Google Play Terms of Service.

UNKNWN Agency LLC is solely responsible for the Applications, their content, maintenance, support obligations, and any claims relating to the Applications.

Apple and Google are third-party beneficiaries of these Terms and may enforce applicable provisions against you.

7. License Grant & Restrictions

Subject to your compliance with these Terms, UNKNWN Agency LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for lawful personal or internal business purposes.

You may not:

  • copy, reproduce, distribute, sublicense, or resell the Services;
  • reverse engineer, decompile, disassemble, or attempt to derive source code;
  • bypass security features or access restrictions;
  • scrape, harvest, or extract data from the Services;
  • use the Services for unlawful, fraudulent, or competitive purposes;
  • interfere with system integrity, performance, or availability;
  • introduce malware, malicious code, or automated abuse;
  • impersonate another individual or entity.

Any unauthorized use immediately terminates the license granted under these Terms.

8. Intellectual Property Rights

All content, software, source code, interfaces, graphics, designs, workflows, trademarks, branding, visual elements, documentation, text, compilations, digital assets, and proprietary materials contained within the Services are owned by or licensed to UNKNWN Agency LLC and protected under applicable intellectual property laws.

No ownership rights are transferred to you through your use of the Services.

All rights not expressly granted are reserved by UNKNWN Agency LLC.

9. User Conduct

You agree to use the Services only in compliance with applicable laws and these Terms.

You may not use the Services to:

  • violate laws or regulations;
  • infringe intellectual property rights;
  • transmit harmful or unlawful material;
  • disrupt network operations;
  • attempt unauthorized access;
  • interfere with other users; or
  • exploit vulnerabilities or security weaknesses.

We reserve the right to investigate suspected violations and cooperate with law enforcement when appropriate.

10. Third-Party Services

The Services may integrate with or reference third-party platforms, software, websites, hosting providers, payment processors, analytics providers, subscription systems, cloud infrastructure providers, or app marketplaces.

UNKNWN Agency LLC does not control and is not responsible for:

  • third-party content,
  • platform availability,
  • payment systems,
  • privacy practices,
  • hosting outages,
  • subscription infrastructure, or
  • operational reliability of external services.

Your use of third-party services is governed by their respective terms and policies.

11. No Professional Advice

Unless expressly stated in a separate written agreement, information provided through the Services is for general informational purposes only and does not constitute legal, financial, accounting, tax, medical, cybersecurity, or other licensed professional advice.

You are solely responsible for evaluating the suitability of any recommendations or information provided.

12. Service Availability

We do not guarantee uninterrupted access, error-free functionality, or continuous availability of the Services.

The Services may be modified, suspended, restricted, or discontinued at any time without notice.

We reserve the right to update, remove, revise, or discontinue features, functionality, subscription offerings, or content at our sole discretion.

13. Termination

We reserve the right to suspend, restrict, terminate, or permanently disable access to the Services or user accounts at any time, with or without notice, if:

  • you violate these Terms;
  • your conduct creates legal or operational risk;
  • required by law; or
  • necessary to protect the Company, users, or third parties.

Upon termination:

  • your license rights immediately cease;
  • you must discontinue use of the Services; and
  • uninstall all Applications from your devices.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNKNWN AGENCY LLC DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • NON-INFRINGEMENT,
  • ACCURACY,
  • RELIABILITY,
  • AVAILABILITY, AND
  • SECURITY.

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNKNWN AGENCY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING:

  • LOST PROFITS,
  • LOST DATA,
  • BUSINESS INTERRUPTION,
  • LOSS OF GOODWILL, OR
  • SYSTEM FAILURE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF UNKNWN AGENCY LLC EXCEED THE GREATER OF:

  • THE TOTAL AMOUNT PAID BY YOU TO UNKNWN AGENCY LLC DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME PORTIONS OF THIS SECTION MAY NOT APPLY.

16. Indemnification

You agree to defend, indemnify, and hold harmless UNKNWN Agency LLC, its owners, officers, employees, contractors, affiliates, licensors, and partners from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising from:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of applicable law; or
  • your infringement of any rights of another party.

17. Arbitration & Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved through informal good-faith negotiations.

If a dispute cannot be resolved informally, it shall be resolved exclusively through binding arbitration conducted in the State of Iowa under the rules of the American Arbitration Association.

You agree that:

  • arbitration shall occur on an individual basis only;
  • class actions and class arbitrations are waived; and
  • disputes may not be consolidated with claims involving other parties.

Nothing in this section prevents UNKNWN Agency LLC from seeking injunctive or equitable relief for intellectual property misuse, unauthorized access, or confidentiality violations.

18. Modifications to Terms

We reserve the right to modify or update these Terms at any time.

Updated Terms become effective upon posting to the Site or Applications unless otherwise stated.

Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed under the laws of the State of Iowa, without regard to conflict-of-law principles.

20. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any separately executed written agreements between you and UNKNWN Agency LLC, constitute the complete agreement regarding the Services.
